MEMORANDUM OF UNDERSTANDING BETWEEN THE DEPARTMENT OF TRANSPORTATION OF THE REPUBLIC OF THE PHILIPPINES AND THE MINISTRY OF LAND, INFRASTRUCTURE AND TRANSPORT OF THE REPUBLIC OF KOREA CONCERNING COOPERATION IN THE FIELD OF TRANSPORT

The Department of Transportation of the Republic of the Philippines and the Ministry of Land, Infrastructure and Transport of the Republic of Korea (hereinafter referred to individually as a "Side" and collectively as the "Sides");

In order to promote mutual cooperation between the two Sides in the field of transport (hereinafter the term "transport" may refer to all forms of transport excluding maritime transport); and

Pursuant to the prevailing laws and regulations of their respective countries; Have reached the following understanding:

Paragraph 1

Objectives

The objectives of the cooperation under this Memorandum of Understanding (hereinafter referred to as the "Memorandum") are:

(a) to facilitate transport cooperation between the two sides;

(b) to promote mutual benefits by sharing information, experiences and technology in the fields of roads, railways and airports, and

(c) to facilitate cooperation between the transport-related industries and organization of the two countries with the aim of enhancing their competitiveness in domestic and international markets.

Paragraph 2

Scope of Cooperation

 

1. The scope of cooperation under this Memorandum includes the following areas:

(a) land transport;

(b) railways;

(c) civil aviation;

(d) education and training in the field of transport;

(e) intermodal transport;

(f) transport safety and security;

(g) intelligent transport systems;

(h) sustainable transport;

(i) transport's impact on the environment;

(j) transport regulation;

(k) data and information management;

(l) development of transport, infrastructure such as railways, airports and other infrastructure;

(m) establishment of national transportation network plan;

(n) joint project and research; and

(o) any other areas of cooperation that may be jointly decided upon by the Sides.

2. The details of the cooperation which may be undertaken in the areas referred to in subparagraph 1 will be set out in specific supplementary arrangements between the Sides, which may include arrangements regarding intellectual property rights if such cooperation may result in any intellectual property.

Paragraph 3

Cooperative Activities

Cooperative activities under this Memorandum, subject to the laws and regulations of the respective countries, may take the following forms:

(a) exchange of information and experience related to transport development;

(b) fostering of partnerships between experts and the exchange of personnel;

(c) enhancement of joint participation in construction projects in the either country or in third countries;

(d) encouragement of participation in technical seminars, exhibitions and expositions;

(e) facilitation of the provision of transport-related human resources, equipment and materials;

(f) exchange of lecturers/trainers in the fields of road ,rail and air transportation between the Sides;

(g) facilitation of training, seminars, workshops, technical training courses , and the training of trainers in areas related to the development of transportation between the Sides;

(h) human resources development (capacity building), and the transfer of knowledge and technology in transport safety and security, including accident response measures;

(i) facilitation of the enhancement of transport safety, security and environmental protection; and

(j) any other forms of cooperation that may be jointly decided upon by the Sides.

Paragraph 4

Framework of Implementation

1. The Sides encourage and facilitate direct contacts and cooperation among governmental or private organizations and other organizations aiming to attain the objectives of this Memorandum, and will support the conclusion of cooperative programs between such organizations

2. The Sides will support the establishment of direct relationship between the businesses of the two countries and their endeavors to form friendly relations.

3. The Sides may hold high-level meetings of officials and experts at jointly decided times and places to discuss forms of cooperation under this Memorandum and to exchange information.

4. Unless otherwise jointly decided ,each Side will bear its own expenses incurred for cooperative activities under this Memorandum.

5. This Memorandum does not constitute a treaty.

Paragraph 5

Consultations

The Sides will hold consultations upon the request of either Side on any matter relating to the provisions of this Memorandum, and will jointly endeavor to resolve any difficulties or misunderstandings which may arise , in the spirit of cooperation and mutual trust.

Paragraph 6

Amendment

This Memorandum may be reviewed or amended at any time by mutual written consent of the Sides. Any such amendments will come into effect on such a date as may be jointly determined by the Sides and will form an integral part of this Memorandum.

Paragraph 7

Entry into Effect, Duration and Termination

1. This Memorandum is not intended to create any legally binding obligations under international law.

2. This Memorandum will come into effect on the date of Its signature.

3. This Memorandum will remain in effect for five (5) years and will thereafter be automatically renewed for successive periods of one (1) year, unless either Side notifies the other Side in writing of its intention to terminate the Memorandum at least ninety (90) days prior to the expiry date of the relevant period.

4. The termination of this Memorandum will not affect the completion of the programs, activities and/or research arising from the cooperation concluded under this Memorandum, unless otherwise jointly decided by the Sides.
